4. Intellectual Property

6. Payment Terms

Fees for Services are as set forth in the applicable Statement of Work or service agreement. Unless otherwise specified, invoices are due within thirty (30) days of issuance. Late payments may incur interest at the rate of 1.5% per month or the maximum permitted by applicable law.

7. Limitation of Liability

To the maximum extent permitted by law, Sulopa AI shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities, arising out of or related to the use of the Services, even if advised of the possibility of such damages.

8. Warranty Disclaimer

The Services are provided "as is" and "as available" without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. Sulopa AI does not warrant that the Services will be uninterrupted, error-free, or secure.

9. Indemnification

You agree to indemnify, defend, and hold harmless Sulopa AI, its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses (including reasonable attorney fees) arising out of your use of the Services or violation of these Terms.

10. Termination

Sulopa AI reserves the right to suspend or terminate your access to the Services at any time, with or without cause, and with or without notice. Upon termination, your right to use the Services will immediately cease. Sections relating to intellectual property, limitation of liability, and indemnification shall survive termination.

11. Governing Law

These Terms shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts located in Hyderabad, India.

12. Changes to Terms

Sulopa AI reserves the right to modify these Terms at any time. Changes will be effective immediately upon posting to the website. Your continued use of the Services after any changes constitutes acceptance of the revised Terms. We recommend reviewing this page periodically for updates.
